Terms of Service
These terms apply to Tellaff's affiliate code generation, referral tracking, Shopify attribution, commission ledger, and owner-facing analytics service.
1. Agreement
By accessing or using Tellaff, you agree to these Terms of Service and the Privacy Policy. If you use Tellaff for a company, store, or other organization, you represent that you have authority to bind that organization.
2. The Service
Tellaff helps merchants create affiliate codes and links, track referral activity, connect Shopify order and refund events, maintain commission ledgers, onboard payout recipients, authorize creator payouts through Stripe Global Payouts, and surface affiliate quality signals. Merchants remain responsible for final business, payout, tax, fraud, employment, and compliance decisions.
3. Accounts and Access
You must keep account credentials secure and ensure only authorized personnel access your merchant dashboard. Account access may be provided through Tellaff's identity provider or another approved access method. You are responsible for activity under your account and for promptly revoking access when staff or contractors no longer need it.
4. Shopify and Third-Party Integrations
If you connect Shopify or another platform, you authorize Tellaff to access and process store, discount, order, refund, and webhook data needed to provide the service. You are responsible for your Shopify account, app permissions, store policies, customer notices, and compliance with third-party platform terms.
5. Merchant Data and Customer Data
You retain ownership of data you submit or connect to Tellaff. You grant Tellaff the rights needed to host, process, transmit, analyze, display, secure, and back up that data to provide and improve the service. You must not submit sensitive data that is unnecessary for referral attribution, commission decisions, fraud prevention, or support.
6. Affiliate Programs and Payouts
Merchants are responsible for affiliate terms, commission rates, approval rules, payout decisions, tax obligations, required disclosures, refund holds, and compliance with advertising, endorsement, consumer protection, and employment laws. Recipient onboarding and payouts are provided through Stripe and are subject to Stripe eligibility, verification, availability, limits, and applicable terms. A merchant authorization may initiate a real transfer; merchants must verify the recipient and amount before confirming. Payouts may be delayed, failed, canceled, or returned, and payout status is not final until confirmed by Stripe. Tellaff's recommendations are not legal, financial, tax, or accounting advice.
7. Acceptable Use
- Do not use Tellaff to violate laws, platform terms, privacy rights, or intellectual property rights.
- Do not upload malware, attempt unauthorized access, interfere with service operations, or bypass security controls.
- Do not use Tellaff to run deceptive affiliate programs, misleading discount offers, undisclosed endorsements, spam, or fraudulent traffic schemes.
- Do not use Tellaff to make high-impact decisions about individuals based on sensitive traits.
8. Fees and Payments
Paid plans, billing, payout, or payment-provider terms and fees may be presented separately when enabled. Merchants are responsible for funding authorized payouts and any disclosed payout, return, or payment-provider fees. Fees are generally non-refundable unless the applicable order form or required law says otherwise. Tellaff may suspend access for non-payment, fraud risk, security risk, or misuse.
9. Availability and Changes
Tellaff is evolving and may change, suspend, or discontinue features. We aim for reliable service but do not guarantee uninterrupted or error-free operation. Beta, pilot, or early-access features may be incomplete, unstable, or changed without notice.
10. Confidentiality and Security
Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and use it only for the business relationship. Tellaff uses safeguards such as authentication, encrypted token storage, signed webhook verification, and audit events, but no system is perfectly secure.
11. Intellectual Property
Tellaff and its software, interface, workflows, analytics, and documentation are owned by Tellaff or its licensors. These terms do not transfer ownership of Tellaff intellectual property. You may provide feedback, and Tellaff may use that feedback without restriction or compensation.
12. Disclaimers
The service is provided "as is" and "as available." To the maximum extent permitted by law, Tellaff disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, accurate, or error-free. Analytics and recommendations are informational and may be incomplete or incorrect.
13. Limitation of Liability
To the maximum extent permitted by law, Tellaff will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. Tellaff's total liability for claims related to the service will not exceed the amounts paid to Tellaff for the service in the three months before the event giving rise to the claim, or 100 dollars if no fees were paid.
14. Indemnity
You will defend and indemnify Tellaff from claims arising out of your affiliate program, store, customer notices, content, data, misuse of the service, violation of law, or violation of these terms.
15. Termination
You may stop using Tellaff at any time. Tellaff may suspend or terminate access for breach, security risk, legal risk, non-payment, or discontinued service. Sections that by their nature should survive termination will survive, including confidentiality, payment obligations, disclaimers, limitations of liability, and indemnity.
16. Governing Law
Unless a separate written agreement states otherwise, these terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Courts located in Florida will have exclusive jurisdiction for disputes that are not subject to a separate written dispute-resolution agreement.
17. Changes
We may update these terms as Tellaff changes. The effective date above shows when the latest version took effect. Continued use after changes means you accept the updated terms.
